NCBA Shares Suspended as Sh110 Billion Nedbank Takeover Reshapes Banking Sector

Trading in NCBA Group shares at the Nairobi Securities Exchange (NSE) has been suspended to facilitate the transfer of a 66 per cent controlling stake in the Kenyan lender to South Africa’s Nedbank Group in a deal valued at approximately Sh110 billion.

The suspension took effect at the close of business on Wednesday, October 21, 2026, and is expected to remain in place until Monday, November 2, as the bank reconciles its shareholder register ahead of the transfer of shares to the new majority owner.

The transaction marks a major shift in the ownership of one of Kenya’s leading banking groups, bringing NCBA under the control of a major Southern African financial institution and strengthening Nedbank’s presence in East Africa.

NCBA announced on October 19 that the acquisition had been completed following the receipt of the necessary regulatory approvals, making the Nairobi-listed lender a subsidiary of Nedbank.

Under the transaction, Nedbank will acquire approximately 1.087 billion NCBA shares, representing 66 per cent of the bank’s issued ordinary shares.

The takeover offer attracted tenders for approximately 1.316 billion shares, equivalent to 79.9 per cent of NCBA’s issued share capital.

However, excess applications were scaled back proportionately to meet Nedbank’s target ownership level.

Shareholders who accepted the offer are entitled to consideration comprising 80 per cent in newly issued Nedbank shares and 20 per cent in cash, allowing participating investors to retain exposure to the banking sector through the South African lender.

The transfer of shares and settlement of the consideration are expected to take place from November 3, subject to the transaction timetable.

NCBA shares closed at Sh85.75 on Monday, October 19, ahead of the suspension, according to Business Daily.

What the Takeover Means for Kenya’s Banking Industry

The acquisition gives Nedbank an established foothold in East Africa’s financial services market without having to build an extensive banking network from the ground up.

For NCBA, the new ownership could create opportunities to access additional capital, international banking expertise and broader business networks as it seeks to expand its regional operations and compete in an increasingly competitive financial sector.

NCBA has maintained a strong financial position, reporting a net profit of Sh23.4 billion for the year ended December 2025, up from Sh21.9 billion in 2024.

Its total assets increased to Sh716 billion, while customer deposits rose to Sh532 billion over the same period.

The bank’s financial performance provides Nedbank with an established platform through which it can pursue growth opportunities in a region where demand for credit, digital banking and business financing continues to create opportunities for lenders.

The transaction also reflects the growing role of cross-border acquisitions in reshaping ownership within Africa’s banking industry, as financial institutions seek to expand beyond their domestic markets.

NCBA to Retain Brand and NSE ListingDespite the change in majority ownership, NCBA is expected to retain its brand, Nairobi headquarters, local leadership and listing on the Nairobi Securities Exchange.

The remaining 34 per cent of the bank’s issued shares will continue to be held by public investors, preserving a minority public shareholding in the lender.

The continued NSE listing means NCBA will remain part of Kenya’s publicly traded corporate sector, although investors will have to wait for trading to resume before buying or selling its shares on the local exchange.

The suspension is intended to facilitate administrative processes linked to the transfer of ownership rather than signal financial distress at the bank.

For investors, the transaction presents a transition from direct exposure to NCBA’s performance to a new ownership structure in which Nedbank assumes control, while shareholders accepting the offer receive a combination of cash and shares in the South African group.

The longer-term impact will depend on how effectively the two institutions integrate their operations, deploy capital and use their combined networks to grow lending, digital financial services and regional business.

As the transaction moves towards final settlement, attention will turn to whether Nedbank’s investment delivers stronger growth for NCBA, improves its competitive position and creates additional value for shareholders and customers across East Africa.
